Terms of Service

The agreement covering use of the platform - what we provide, what you are responsible for, how billing works, and the limits of what a restoration is.

Agreement to these terms

These terms are a contract between you and Docovly (Pvt) Ltd. By creating an account or using the service you accept them. If you do not accept them, do not use the service.

If you are agreeing on behalf of an organisation, you confirm you have authority to bind it, and you and it are both covered by the words you and your.

Definitions

  • Service - the Docovly platform, the website, the application and the API.
  • Account - your registered access to the service.
  • Documents - files you upload, and any regions or instructions you mark on them.
  • Output - restored images, versions, transcriptions and captured data produced from your documents.
  • Points - the unit in which restoration work is measured and charged.

Who may use Docovly

You must be at least 16 years old and able to form a binding contract. You must not be barred from using the service under the laws that apply to you, and you must not be on a sanctions list or located in a sanctioned territory.

Your account

You are responsible for the security of your credentials and for everything done under your account. Tell us promptly at support@docovly.com if you believe it has been compromised.

One account is for one person or one organisation. Do not share credentials, and do not let anyone use your account to get around a limit, a suspension or a plan.

The service

Docovly (Pvt) Ltd provides software that repairs damaged documents and reads them back as structured data. Restoration is performed by machine-learning models and produces a best-effort result on the material you supply.

We may add, change or remove features. Where a change materially reduces functionality you are paying for, we will tell you in advance.

What a restoration is, and is not

A restored document is a legible copy of a document you already hold. It is not an issued, certified or legally authoritative document, and it does not replace one.

We do not issue, replace, certify or authenticate any document. Whether a restored copy is acceptable for a given purpose - a court, a registry, an application, an insurer - is a matter for that body, not for us.

Restoration works on legibility, not content. Nothing is re-typeset, no missing text is invented, and where a character or value cannot be recovered it is marked as unrecoverable rather than filled in with something plausible.

Your documents remain yours

You keep all rights in the documents you upload and in the outputs produced from them. We claim no ownership of either.

You grant us a limited, non-exclusive licence to host, copy, transmit and process your documents strictly to provide the service to you, and to keep the versions the product is designed to retain. That licence exists only so the software can run, ends when you delete the material or close your account, and does not permit us to use your documents to train models or for any purpose of our own.

Your responsibilities

  • You must have the right to upload and process the documents you submit.
  • Where you upload documents containing other people's personal data, you are responsible for having a lawful basis to do so, and for any notices or consents that basis requires.
  • You must not use the platform to create, alter or falsify documents in order to deceive anyone.
  • You are responsible for reviewing withheld and flagged values before relying on captured data. The platform tells you what it could not resolve; acting on that is your part.
  • You are responsible for keeping your own copy of anything you cannot afford to lose. We are not a backup service.

Prohibited use

The following will get an account closed, and where the law requires it, reported.

  • Producing documents intended to pass as originals for fraudulent purposes.
  • Altering the substantive content of a document - changing what it says, rather than making what it says legible.
  • Forging or fabricating signatures, seals, stamps, watermarks or security features.
  • Circumventing identity, age or security controls, anywhere.
  • Uploading material you have no right to process, or that is unlawful to possess.
  • Reverse engineering, scraping, or attempting to extract the models, prompts or instructions behind the service.
  • Probing, load-testing or attacking the infrastructure, or bypassing rate limits and quotas.
  • Reselling or white-labelling the service without a written agreement with us.

Points, plans and billing

Plans are billed in advance and allowances renew monthly on the anniversary of the day you subscribed. Points are the unit of restoration work and are consumed as jobs run.

Points do not roll over between billing periods, and there are no top-up packs. If a month runs long, moving up a tier is how more work is bought, and it takes effect immediately.

Payment is taken by our payment processor. If a payment fails we may retry it, and may suspend the account if it keeps failing.

Taxes

Prices are inclusive of tax: VAT, GST and US sales tax are already in the figure shown, wherever you are, and a compliant invoice is issued for every payment. You are responsible for giving us accurate billing details.

Price changes

We may change prices. Existing subscribers get at least 30 days' notice by email, and the new price applies from the next renewal - never mid-period. If you do not accept it, cancel before that renewal.

The free tier

The free tier carries a monthly allowance of points, needs no card, and produces real files with no watermark. It exists so you can evaluate the platform on a document that matters to you before any money changes hands.

It is offered as-is, and we may change or withdraw it. Creating multiple accounts to obtain repeated free allowances is a breach of these terms.

Refunds

Refunds are governed by our Refund Policy, which forms part of these terms. In summary: 14 days on a new subscription that has not consumed a substantial part of its allowance, automatic return of points for jobs that failed on our side, and no refund for a completed job on the grounds that the result was disappointing.

Our intellectual property

The service, the software, the interface, the documentation and our name and marks belong to us or our licensors. Nothing in these terms transfers any of it to you.

You get a limited, revocable, non-transferable right to use the service while your account is in good standing, and nothing more.

Feedback

If you send us an idea, a bug report or a suggestion, we may use it without obligation, payment or attribution. We would rather hear it than not, and this clause exists so nobody has to negotiate before telling us something is broken.

Connected storage and third-party services

You can connect your own storage - S3-compatible, WebDAV, Nextcloud, ownCloud, Drive, Dropbox, OneDrive. Those connections are read-only: the platform cannot write to, move or delete anything in your storage.

Third-party services are governed by their own terms, and we are not responsible for them, for their availability, or for what they do with data you hold there.

Confidentiality

Each of us may learn confidential information about the other. Both of us agree to protect it with at least reasonable care and to use it only for the purposes of this agreement. Your documents and outputs are your confidential information.

This does not cover information that is public through no fault of the receiver, was already known, or must be disclosed by law - and where the law allows it, we will tell you before disclosing.

Availability and support

We aim for continuous availability but do not guarantee uninterrupted service. Planned maintenance is announced in the product where it is likely to be disruptive.

Support is by email at support@docovly.com, answered by the people who built the platform. Enterprise agreements can include committed response times; nothing else does.

Suspension

We may suspend an account immediately where there is a credible risk of harm - suspected fraud, a security incident, unlawful material, non-payment, or use that threatens the platform for other customers.

We will tell you why whenever we are lawfully able to, and restore access once the cause is resolved.

Term and termination

These terms apply for as long as you have an account. You can close your account at any time from within the product; closure takes effect at the end of the current paid period and stops future renewals.

We may terminate for material breach that is not fixed within 14 days of us telling you about it, or immediately for the prohibited uses listed above.

On termination your right to use the service ends and your documents, versions and captured data are deleted on the schedule in the Privacy Policy. Export what you need before you close the account - we cannot recover it afterwards.

Disclaimers

The service is provided as-is and as-available. To the fullest extent permitted by law we exclude all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that any given document can be restored, that any particular quality will be achieved, or that captured data will be complete or accurate. Restoration is a best-effort process on damaged material, and the honest limit of what survives on a given document is not something we control.

Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

Limitation of liability

To the extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, loss of business, or loss of goodwill.

Our total liability arising out of or in connection with this agreement is limited to the greater of the amount you paid us in the twelve months before the claim arose, or one hundred US dollars.

In particular, we are not liable for a decision you took on the basis of captured data you did not review, where the platform marked that data as withheld or flagged.

Indemnity

You agree to indemnify us against claims, losses and reasonable costs arising from documents you uploaded without the right to do so, from your breach of these terms, or from your unlawful use of the service.

Export control and sanctions

You must comply with applicable export control and sanctions laws. You confirm you are not located in, and will not use the service from, a territory subject to comprehensive sanctions, and that you are not a person with whom dealing is prohibited.

Governing law and disputes

These terms, and any dispute or claim arising out of or in connection with them - including a non-contractual one - are governed by the laws of England and Wales.

The parties submit to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer, nothing in these terms deprives you of the protection of the mandatory laws of the country you live in, or of the right to bring proceedings there. Where those laws conflict with the two paragraphs above, those laws win.

Before starting proceedings, write to support@docovly.com. Most disputes turn out to be a misunderstanding that a reply can fix.

Changes to these terms

We may update these terms. For material changes we will give at least 30 days' notice by email to account holders and in the product, and the change takes effect at the end of that period.

Continuing to use the service after that means you accept the revised terms. If you do not, close your account before they take effect and we will refund any unused paid period.

General

  • Assignment - you may not assign this agreement without our consent. We may assign it to a successor in connection with a merger or sale of the business.
  • Severability - if a clause is unenforceable, the rest stays in force and the clause is read down to the extent needed to make it valid.
  • Waiver - not enforcing a term once does not waive the right to enforce it later.
  • Entire agreement - these terms, the Privacy Policy, the Refund Policy and any Data Processing Agreement are the whole agreement between us on this subject.
  • Force majeure - neither party is liable for failure caused by events genuinely outside its reasonable control.
  • Notices - we notify you by email or in the product; you notify us at support@docovly.com.
  • No third-party rights - nobody other than you and us can enforce these terms.
